Is this the same game as the Matrix version?

Yes it is the same. Here is the Matrix LINK
to the product. If you click on "Official Link" on this page it takes you to the ageod forums. Of course Matrix wouldn't link to the ageod product page since they are an official reseller of the product.
The cover art you show is different than what is shown on the ageod product site, but that may be for geographical reasons regarding the country the game is sold in or it could be an earlier or later evolution of the cover artl.

Yes it's the same game.
There are different retail versions with different boxes available on different countries and distributed by different publishers.
