I have the game with CD. My friend is interested in buying the game. He is considering just buying the download version without CD.

The question is this, if my friend buys just the download version and something happens where he would have to re-install the game, could he use my CD and his serial number for the installation?

Yes, that would work. He can also re-download his game through www.findmyorder.com for two years if he gets the download insurance.
