Safe retreat hexes

The manual states that a retreating unit will try to find a "safe" hex to retreat into. As far as I can see from playing, the only criteria for "safe" is that the hex have passable terrain and be either vacant or friendly-occupied with less than maximum stacking. I have two questions:

1) Are there any other criteria for defining a "safe" retreat hex?
2) Does the unit suffer any penalty for retreating into a vacant hex adjacent to enemy units? I know the unit loses Readiness level if there is no place to retreat at all, but does it suffer any penalty if it retreats to a vacant hex that is next to an enemy unit?

The units will generally try to retreat toward their HQ, or a supply source, and "safe" will mean less likely to suffer a disengagement attack.

Moving into a vacant hex that is adacent to enemy units increases the chance that the retreating unit will suffer a disengagement attack.
