What happens if I delete the transfer of the totenkopf division for example?
Do I pay an AP penalty? Won't it turn into the panzer grenadier division? Or what?

There is no penalty if you can control the Theather Boxes - by itself at least.

The conversion into another unit type - and the subsequent change of ToE may be delayed but it will happen.

TBs are checked by percentages of requirements fulfilled. So long there are enough troops and air assets in a TB you are good and you can cancel transfers, or even take troops away from that TB.
The issue with the ToE is that in a Theather Box it will simply and easily change equipment to the new stuff, while if on map it will demand freight to do so.

Be aware that having significant overages above the theater box garrison requirements can have positive effects such as delaying historical events in those boxes. Just as having shortages can advance the time table of events.
